North Capital Private Securities Corporation (“North Capital”) will be acting as our soliciting agent and executing broker in connection with this offering and entitled to a brokerage fee equal to (i) an amount equal to 1% of the gross proceeds of all series Offerings; plus (ii) an amount equal to: (A) 7.5% of the gross proceeds of all series Offerings (equal to $133,333.33) until such time as NCPS has received $10,000 in the aggregate for all series Offerings; thereafter, with respect to each series Offering: (B) 7.5% of the gross proceeds of each series Offering (equal to $13,333.33 per series Offering) until such time as NCPS has received $1,000 in the aggregate for each such series Offering. The Manager will be responsible for the fees in item (A) above. The Company will be responsible for the additional fees.
